1. Introduction
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and StylistIQ, Inc. (“StylistIQ,” “we,” “our,” or “us”) governing your access to and use of all StylistIQ services, applications, websites, and related technologies (collectively, the “Services”).
These Terms apply to all users, including but not limited to consumers, stylists, and store associates (collectively, “Users”). By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you may not access or use the Services. StylistIQ reserves the right to modify or update these Terms at any time by posting the revised version on our website or within the application. Your continued use of the Services after any modifications constitutes acceptance of the revised Terms.
2. Eligibility and Accounts
To use the Services, you must be at least thirteen (13) years of age. If you are under the age of eighteen (18), you may only use the Services with the consent of a parent or legal guardian. By registering, you represent and warrant that you meet the applicable age requirements and have the legal capacity to enter into this agreement.
Users must create an account by providing accurate and complete information, including a valid email address and password, or by authenticating through third-party platforms such as Apple or Google. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You agree to immediately notify StylistIQ of any unauthorized use of your account or any other breach of security.
StylistIQ reserves the right to suspend, restrict, or terminate any account at its discretion, including for violations of these Terms, fraudulent activity, inactivity, or behavior that, in StylistIQ’s judgment, may harm the platform, other users, or the integrity of the Services.
3. Overview of the Services
We use your information to provide, maintain, and improve the Services, including generating personalized outfit recommendations and managing your digital wardrobe. The information you provide allows us to tailor styling results to your preferences, context, and environment—such as location, weather, or event type—and to deliver made-to-measure, dry-cleaning, or retail orders.
Your information is also used for account management, identity verification, and communication purposes. This includes sending administrative notifications, product updates, customer support responses, and marketing communications where permitted by law and your consent preferences.
StylistIQ uses anonymized and aggregated data to enhance our AI models and improve styling accuracy for all users. We do not use identifiable user content to train our AI systems without explicit consent. We also use information to maintain system integrity, detect fraudulent activity, and ensure compliance with applicable laws and regulations.
3. How We Use Your Information
StylistIQ operates as an artificial intelligence-driven personal styling and wardrobe management platform. The Services include the ability to digitize and manage your wardrobe, receive AI-generated outfit recommendations, purchase items via the StylistIQ AI Store, order made-to-measure garments, and arrange dry-cleaning or repair services. Additionally, verified stylists and store associates may use dedicated portals to manage clients, create lookbooks, and engage in styling consultations.
The Services may integrate contextual data, including weather, calendar events, and travel information, to generate customized styling experiences. StylistIQ continuously updates its technology and may modify, enhance, suspend, or discontinue features at any time without notice. Certain Services may involve third-party providers, whose activities are governed by their respective terms and privacy policies.
4. Professional Users: Stylists and Store Associates
Certain users are designated as professional users (“Professionals”) and may access specialized tools through the StylistIQ Stylist and Associate Portal. Professionals are independent contractors and not employees, agents, or representatives of StylistIQ. The Services provided through the Professional Portal include, but are not limited to, client wardrobe review, lookbook creation, messaging, and curated store recommendations.
Professionals must maintain strict confidentiality regarding all client data and wardrobe information. Any disclosure, duplication, or unauthorized sharing of client data is strictly prohibited. Professionals may not solicit clients outside the platform using information obtained through StylistIQ or use the Services for competitive or unauthorized purposes.
Professionals are required to comply with all applicable laws, including advertising, consumer protection, and data privacy regulations. StylistIQ reserves the right to audit professional activity to ensure compliance. Violation of these obligations may result in immediate account suspension or termination and may expose the violator to legal liability.
5. User Content and License
Users may upload photographs, videos, and other data (“User Content”) to create their digital wardrobes and facilitate AI styling. By submitting User Content, you grant StylistIQ a worldwide, perpetual, royalty-free, non-exclusive, sublicensable, and transferable license to host, use, reproduce, process, modify, and display such content as necessary to operate and improve the Services.
You retain ownership of your User Content. However, StylistIQ reserves the right to remove or disable access to any content that violates these Terms, infringes intellectual property rights, or is otherwise objectionable. StylistIQ may use aggregated, anonymized data derived from User Content to improve machine learning models, product performance, and recommendation accuracy.
You represent and warrant that you own or have all necessary permissions to upload User Content and that it does not violate any laws, third-party rights, or these Terms. You further agree not to upload any images, text, or materials that are illegal, pornographic, defamatory, obscene, harassing, discriminatory, or otherwise inappropriate (“Prohibited Content”).
6. AI Services and Limitations
StylistIQ’s Services rely on proprietary artificial intelligence (“AI”) systems that analyze images, fabrics, colors, and contextual data to provide styling recommendations. You acknowledge that all AI-generated content, including outfit suggestions, is provided for informational purposes only and may not always be accurate or appropriate.
AI results may include automated decision-making based on aggregated learning models, but they do not constitute human advice. You are solely responsible for evaluating the suitability of any recommendation before relying on it. StylistIQ makes no warranties regarding the accuracy, reliability, or quality of AI outputs.
You agree that all feedback, suggestions, and improvements you provide related to AI recommendations or platform functionality become the property of StylistIQ without obligation or compensation.
7. Community Standards and NSFW Policy
StylistIQ is a professional, inclusive platform. You agree to maintain respect for all users and professionals within the community. You may not post, upload, or transmit content that contains nudity, sexually explicit material, hate speech, violence, harassment, discrimination, or any other offensive material.
You are strictly prohibited from using StylistIQ to engage in any unlawful conduct, including stalking, impersonation, defamation, or unauthorized commercial activity. Any User or Professional found in violation of this policy may have their account permanently suspended without refund or notice.
StylistIQ reserves the right to moderate, remove, or restrict content or communications that violate these standards. Moderation may be conducted automatically or manually. Users acknowledge that StylistIQ is not obligated to monitor all activity but may intervene when policy breaches are detected or reported.Despite these efforts, no electronic storage or transmission is completely secure. By using the Services, you acknowledge and accept these inherent risks.
8. Payments, Transactions, and Third-Party Providers
Certain Services, including purchases from the AI Store, made-to-measure orders, and dry-cleaning coordination, may require payment. All financial transactions are processed through third-party payment processors compliant with PCI-DSS standards. By making a purchase, you authorize StylistIQ and its processors to charge your selected payment method for the total transaction amount, including taxes and applicable fees.
Transactions conducted through the AI Store or via stylist recommendations may involve third-party retailers or brands. StylistIQ acts solely as a facilitator and does not guarantee product availability, quality, or delivery. Refunds, returns, or claims must be addressed directly with the retailer or manufacturer unless otherwise stated.
StylistIQ is not liable for delays, product defects, or any damages arising from third-party products or services. By using these services, you acknowledge that you have reviewed and accepted the applicable third-party terms and conditions.
9. Beta Services and Experimental Features
From time to time, StylistIQ may introduce features labeled “Beta,” “Preview,” or “Experimental.” These features are provided for testing and evaluation purposes only. Beta Services may contain errors or be incomplete and may be modified or discontinued without prior notice.
StylistIQ provides no warranties of any kind regarding Beta Services and expressly disclaims any liability arising from their use. You acknowledge and agree that participation in Beta features is voluntary and that any feedback or data shared may be used to improve the Services.
10. Prohibited Conduct
You agree not to misuse the Services or assist anyone else in doing so. Prohibited behavior includes, but is not limited to, the following: accessing or attempting to access data or systems without authorization; interfering with or circumventing security features; uploading malicious code, viruses, or scripts; scraping, copying, or reverse-engineering StylistIQ’s software, AI models, or data; impersonating another person or entity; sending spam or fraudulent communications; using the Services to collect information for competitive purposes; or attempting to use StylistIQ’s AI or data models to train or support competing systems.
You further agree not to post, share, or transmit any material that is unlawful, obscene, pornographic, sexually explicit, defamatory, harassing, discriminatory, hateful, violent, or otherwise offensive (“NSFW Content”). StylistIQ has zero tolerance for abuse, hate speech, threats, or harassment directed at any user or professional. Violation of these prohibitions may result in immediate suspension or termination of your account and referral to law-enforcement authorities.
11. Intellectual Property Rights
All proprietary rights in and to the Services, including software, databases, artificial-intelligence models, algorithms, designs, trademarks, trade names, and other intellectual property (collectively, the “Proprietary Materials”), are and shall remain the exclusive property of StylistIQ, Inc. and its licensors. Nothing in these Terms transfers or assigns to you any ownership interest in the Proprietary Materials.
Subject to your compliance with these Terms, StylistIQ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes. Any other use, including modification, reproduction, distribution, or creation of derivative works, is strictly prohibited without StylistIQ’s prior written consent.
You acknowledge that all feedback, ideas, or suggestions you provide to StylistIQ (“Feedback”) become StylistIQ’s property, and you hereby assign all rights in such Feedback to StylistIQ without obligation or compensation.
12. Confidential Information (for Professional Users)
Professional users, including Stylists and Store Associates, may gain access to proprietary or confidential information through the Services (“Confidential Information”). This may include client data, wardrobe inventories, communications, pricing, measurement data, or other business and technical information.
Professionals must treat all Confidential Information as strictly confidential and may use it only for authorized purposes under these Terms. Disclosure to third parties, duplication, or retention of client data after termination of the professional relationship is expressly prohibited. Upon request or termination, all such data must be deleted or returned to StylistIQ. Failure to comply constitutes a material breach of these Terms and may result in legal action.
13. Copyright Infringement and DMCA Procedure
StylistIQ respects intellectual-property rights and expects its users to do the same. If you believe that material appearing on the Services infringes your copyright, you may submit a notification under the Digital Millennium Copyright Act (“DMCA”) to our Designated Agent at [email protected].
Your notice must include: (a) identification of the copyrighted work claimed to have been infringed; (b) identification of the infringing material and its location on the Services; (c) your contact information; (d) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on behalf of the owner.
Upon receiving a valid notice, StylistIQ will remove or disable the allegedly infringing material in accordance with the DMCA. Repeat infringers may have their accounts terminated.
14. Termination of Access
StylistIQ may suspend or terminate your access to the Services at any time, with or without notice, for any reason including, but not limited to, breach of these Terms, fraudulent or illegal activity, failure to pay fees, or conduct that may harm other users or StylistIQ’s reputation.
Upon termination, all rights granted to you shall immediately cease. You remain responsible for any outstanding obligations incurred prior to termination. Certain provisions of these Terms—including those concerning intellectual-property rights, confidentiality, disclaimers, limitation of liability, and indemnification—shall survive termination.
15. Disclaimers and Limitation of Liability
The Services, including all content, recommendations, and AI-generated outputs, are provided on an “as is” and “as available” basis. StylistIQ makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.
You acknowledge that use of AI recommendations and stylist guidance is at your own risk and that StylistIQ does not guarantee any specific outcome, satisfaction, or result. StylistIQ shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to the use of the Services or any third-party products or services.
To the fullest extent permitted by law, StylistIQ’s total aggregate liability for all claims arising under or related to these Terms shall not exceed the greater of one hundred U.S. dollars (USD $100) or the total fees paid by you to StylistIQ in the twelve (12) months preceding the claim.
Some jurisdictions do not allow certain disclaimers or limitations, so portions of this section may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless StylistIQ, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Services; (b) your violation of these Terms or any applicable law; (c) your User Content or infringement of third-party rights; or (d) any activity conducted under your account.
StylistIQ reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate fully with such defense.
17. Governing Law, Arbitration, and General Provisions
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute arising under or relating to these Terms shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The place of arbitration shall be Delaware, U.S.A.
You waive any right to bring or participate in a class, consolidated, or representative action. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure by StylistIQ to enforce any right shall not constitute a waiver. You may not assign these Terms without StylistIQ’s written consent. StylistIQ may assign its rights or obligations at any time without notice.
All notices required under these Terms shall be sent via email to [email protected]. Electronic communications, including acceptance by clicking or continuing to use the Services, satisfy any legal requirement for written consent or signature.
